Plus such companies are formed for limited period, in this case hicks will have 21months to make a purchase with the funds once the intial public offering is closed (this aspect is being managed by Citigroup)or else all funds are returned to the shareholders. This company could technically be allowed to buy LFC in this 21month period but there is no way the board would agree to this. Plus the formation of the company will come long after the day for repayment has passed with RBS. Even if Hicks gets an extension on the debt so that company could buy it there would be serious legal issue relating to buying yourself out! What do you mean my birth certificate expired?

We're safe from this angle I think. It would take some seriosly fecked up twists for this one to bite us. Though you have to hand it to Hicks, he is yet again using other people money to line his own pockets! What do you mean my birth certificate expired?

Its all shareholder money, any company the SPAC decide to buy or merge with has to be agreed by the shareholders.
